Daniel Rotman saw an opportunity in a market he believed had been overlooked: cat care. In 2015, after an experience that left him questioning how early cat owners could spot signs of illness, he began exploring whether cat litter could do more than absorb waste. The result was PrettyLitter, a colour-changing silica gel litter designed to alert owners to potential changes in their cats’ urine. Rotman built the business by selling directly to consumers, handling early orders himself and prioritising profitability over rapid hiring. He reported generating about $760,000 in revenue in the first year. Bloomberg reported in September 2021 that Mars had agreed to acquire PrettyLitter in a deal valued at $500 million to $1 billion, citing people familiar with the matter. In June 2026, Inc. reported that Mars took a majority stake in the company in 2021 and bought out Daniel Rotman’s equity in 2024 at a reported $1.4 billion valuation.

How Daniel Rotman’s experience with his cat inspired PrettyLitter

The idea behind PrettyLitter came from the loss of Rotman’s 15-year-old cat, Gingi. In his first-person account published by Entrepreneur, Rotman recalled that his cat’s health deteriorated after she had appeared to behave normally. A veterinarian explained that cats often hide signs of illness, making changes difficult for owners to notice early. A few years later, in 2015, Rotman was participating in an incubator programme and revisited the experience. He wondered whether the litter box, which cat owners use every day, could provide an early indication of potential health concerns. He also recalled learning from the veterinarian that urine testing can help identify health problems in cats and dogs.At the time, Rotman had completed graduate school and was considering a career in public policy. The incubator gave him an opportunity to develop the idea into a business concept. He researched veterinary laboratories and found one that helped formulate the product. PrettyLitter was designed to change colour in response to certain characteristics of a cat’s urine. Rotman has stressed that the product is not a diagnostic tool. Instead, it is intended to alert owners to potential changes that may warrant veterinary attention. A colour change cannot establish that an animal has a particular illness, and owners should consult a veterinarian about concerning results or changes in behaviour.

How PrettyLitter works and how Rotman funded the business

Rotman selected type C silica gel as the product’s base material. In his Entrepreneur account, he said the material’s properties helped the company develop a litter that could absorb urine while displaying colour changes associated with certain urine conditions. Unlike conventional clumping litter, PrettyLitter absorbs moisture into its pores rather than forming clumps that must be scooped out after every use. Rotman said the material also required less product by weight, helping make shipping more practical. The early business operated on a small scale. Rotman learned to use Shopify and Facebook advertising, packed orders in his apartment and took parcels to the post office himself. According to his account, the operation outgrew his bedroom within about six months, prompting him to move fulfilment to an external facility. Rotman reported generating approximately $760,000 in revenue during the first year, followed by $6.5 million in the second year. Inc. also reported revenue of about $750,000 in 2016 and $6.5 million in 2017, broadly corroborating the figures for those years. The company’s early funding also needs to be distinguished from its later seed round. According to Inc.’s June 2026 profile, PrettyLitter placed third in Draper University’s Startup U competition, after which venture capitalist Tim Draper invested $50,000. Rotman’s account in Entrepreneur differs: he says his pitch won the consumer-facing category and earned him a $50,000 cheque. The two accounts differ on the competition result and how the money was awarded. PrettyLitter subsequently raised a $1 million seed round, which closed in November 2016, according to Inc. Rotman said he focused on profitability, gross margins and keeping the business lean rather than expanding its headcount simply to signal growth. He initially outsourced work and hired employees as specific operational needs arose. His first hire was a customer-service director, after the volume of customer enquiries became difficult to manage alone.

Mars acquisition: what is known about PrettyLitter’s valuation

As PrettyLitter grew, the cost of manufacturing inventory ahead of customer payments created a financing challenge. Rotman explained that he had to consider taking on debt or finding a strategic partner who could help fund the next stage of growth. He had maintained relationships with people at Mars, the privately held multinational behind a range of food and pet-care businesses. Rotman described the conversation as a strategic discussion, while Inc. reported that the process developed into a competitive bidding process. In September 2021, Bloomberg reported that Mars had agreed to acquire PrettyLitter in a deal valued at $500 million to $1 billion, citing people familiar with the matter. Mars declined to comment on the price, according to the report.More recent reporting adds an important distinction. In a June 12, 2026, article, Inc. reported that Mars bought a majority stake in PrettyLitter in 2021 in a mid-nine-figure transaction, then bought out Rotman’s equity in 2024 at a reported $1.4 billion valuation. Inc. reported that PrettyLitter had around $115 million in annual revenue and 12 full-time employees at the time of the 2021 acquisition. Rotman’s account in Entrepreneur lists revenue figures of $125 million, $250 million and $350 million, but does not date those figures. The two accounts therefore report different revenue figures, and the timing of the figures in Rotman’s account is not specified. Rotman said Mars appealed to him because of its experience in pet care and veterinary services, its long-term ownership structure and its ability to provide resources for product development. His account to Entrepreneur said the deal was structured to retain him as a founder and preserve the existing team at the time of the sale. However, Inc. reported in June 2026 that Rotman had since left his advisory role at Mars and was returning to politics.

What PrettyLitter’s growth says about the cat-care market

PrettyLitter’s business model combined a routine household purchase with a product positioned around pet health. Its direct-to-consumer approach allowed the company to reach cat owners online, while recurring purchases created opportunities to build longer-term customer relationships. The company says it has sold more than 50 million bags of litter, a figure reported in Rotman’s Entrepreneur profile. That figure is company-reported and should not be confused with independently audited sales data.
